Shareholder disputes and NCLT cases in India from Singapore

Investors in Singapore often learn of a down-round or a new share issue in their Indian company from a filing, not from the founders.

Short answer

A shareholder in Singapore, individual or company, can petition the National Company Law Tribunal in India for oppression and mismanagement. An arbitration clause, even one seated in Singapore, does not usually prevent this, because the Tribunal exercises statutory powers an arbitrator lacks. Remedies include cancelling allotments and a buy-out at fair value.

How it works from Singapore

We compare the shareholders' agreement and articles with the company's filings. Where rights exist only in the agreement and not in the articles, enforcement against the company is harder, so strategy may combine Singapore arbitration on the contract with a Tribunal petition on the corporate conduct.

Interim relief is sought from whichever forum can grant it fastest: the Tribunal for status quo on shareholding, or the Indian court in support of arbitration. Hearings are hybrid and document-driven.

What is different for NRIs in Singapore

  • Emergency arbitrator orders need care to enforce in India.
  • Board resolutions of a Singapore shareholder should be apostilled.
  • Limitation is three years from knowledge.

Step by step from Singapore

  1. Free review call

Singapore is two and a half hours ahead, so calls are held from late morning onwards. We read your papers on a shareholder dispute first, so the call is about your options and not a repeat of the facts.

  2. Authority from Singapore

Where a representative must act for you in India on a shareholder dispute, you sign before a Singapore notary public and obtain the Singapore Academy of Law apostille, or attend the High Commission of India. We draft the document and send signing instructions.

  3. Work in India

In India, we inspect the company filings, send requisitions and file or defend the petition with an application for interim protection. Updates for clients in Singapore go by email and WhatsApp with scans of whatever is filed.

  4. Result and handover

At the end you receive the tribunal orders and help to give them effect in the company record. Originals are couriered to your address in Singapore if you need them.
